Terms of Service

1. Introduction and Acceptance

Welcome to AuraScope, operated by Harnex AI Limited ("AuraScope", "we", "us", or "our"), a company registered in New Zealand.

These Terms of Service ("Terms") govern your access to and use of the AuraScope website (www.aurascope.co), platform, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

"Account" means the account you create to access the Service.

"Content" means any text, data, information, software, graphics, or other materials.

"Customer Data" means any data, information, or materials you submit to the Service, including brand information, website URLs, and prompts.

"Service" means the AuraScope platform, including AI visibility monitoring, Answer Engine Optimisation (AEO) analytics, and related features.

"Subscription Plan" means the access tier assigned to your Account (Basic, Pro, Enterprise, or Free Trial), which determines feature limits and capacity.

"User", "you", or "your" means the individual or entity using the Service.

3. Description of Service

AuraScope provides AI visibility monitoring and Answer Engine Optimisation (AEO) analytics. Our Service includes:

  • Monitoring how AI platforms (ChatGPT, Perplexity, Gemini, Google AI Overviews, and others) describe and recommend your brand
  • Tracking visibility scores across different prompts, topics, and regions
  • Providing diagnostic insights on answer quality and hallucination detection
  • Delivering prescriptive recommendations for improving AI visibility
  • Offering content briefs and AEO recommendations

The Service is provided on a software-as-a-service (SaaS) basis.

4. Beta and Early Access

Access to the Service is currently by invitation only. Invited users are added to an approved access list. Beta and early-access users acknowledge that:

  • The Service may contain bugs, errors, or incomplete features
  • Features may change or be removed without notice
  • Service availability and performance may vary
  • We may collect feedback and usage data to improve the Service
  • Access may be revoked at our discretion

Users who receive pricing commitments will have those rates honoured upon general availability, subject to the terms of their subscription agreement.

5. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

6. Account Registration

To access certain features of the Service, you must create an Account. When creating an Account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your Account information
  • Maintain the security of your password and Account
  • Notify us immediately of any unauthorised use of your Account
  • Accept responsibility for all activities that occur under your Account

You may not:

  • Share your Account credentials with others
  • Create an Account using false or fraudulent information
  • Create multiple Accounts for the same individual or entity (unless authorised)

We reserve the right to suspend or terminate Accounts that violate these Terms.

7. Subscription Plans and Access

‍

7.1 Plans

We offer different subscription plans (Basic, Pro, Enterprise) with varying feature limits, including the number of websites you can monitor, prompts you can track, and clients you can manage (for agency accounts). Plan details are available within the platform.

7.2 Future Paid Plans
  • We will provide at least 30 days' notice before any charges apply
  • Existing users will be notified of pricing and given the opportunity to select a plan
  • Payment terms, billing cycles, and refund policies will be published at that time and incorporated into these Terms. Beta and early-access users who received pricing commitments will have those rates honoured.

No charges will be applied to your account without your explicit consent.

7.3 Plan Limits

Each plan has capacity limits. If you exceed your plan's limits, you may need to upgrade to a higher-tier plan. We will notify you when you are approaching or have reached your plan limits.

7.4 Free Trial

We may offer a free trial period for new users. Free trial terms, duration, and included features will be communicated at the time of sign-up. At the end of a free trial, your access may be restricted unless you select a subscription plan.

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of others
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorised access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to harass, abuse, or harm others
  • Impersonate any person or entity
  • Use the Service for any fraudulent or illegal purpose
  • Scrape, crawl, or use automated means to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices or labels
  • Use the Service to monitor competitors' brands without their consent

We reserve the right to investigate and take appropriate action against anyone who violates these rules, including suspending or terminating access.

10. Customer Data

‍

10.1 Your Rights

You retain all rights to your Customer Data. By using the Service, you grant us a limited licence to use, process, and display your Customer Data solely to provide the Service.

10.2 Our Use

We may:

  • Process your Customer Data to provide monitoring and analytics
  • Use aggregated, anonymised data for improving our Service
  • Store your Customer Data on secure servers

10.5 Your Responsibilities

You are responsible for:

  • The accuracy and legality of your Customer Data
  • Ensuring you have rights to monitor the brands and websites you submit
  • Complying with applicable data protection laws
  • Maintaining backups of your Customer Data
10.6 Data Deletion

Upon termination of your Account, we will initiate deletion of your Customer Data. Deletion is carried out progressively and is typically complete within 90 days, unless we are legally required to retain it.

11. Intellectual Property

‍

11.1 Our IP

The Service, including its software, design, text, graphics, logos, and other content, is owned by AuraScope and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the Service
  • Sell, rent, lease, or sublicense the Service
  • Remove or alter any proprietary notices

11.2 Your IP

You retain ownership of all intellectual property rights in your Customer Data and any content you create using the Service.

11.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free licence to use them without compensation or attribution.

12. Third-Party Services

The Service integrates with and monitors third-party AI platforms (including OpenAI, Google Gemini, and Perplexity) and uses third-party infrastructure services (including Supabase for authentication and hosting, and OpenRouter for API routing). We are not responsible for:

  • The availability, accuracy, or reliability of these platforms
  • Changes these platforms make that affect our Service
  • The privacy practices of these platforms

Your use of these third-party platforms is subject to their respective terms of service.

13. Service Availability

‍

13.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance
  • Circumstances beyond our control

13.2 Service Changes

We reserve the right to:

  • Modify or discontinue any feature of the Service
  • Change how we monitor AI platforms
  • Update our monitoring frequency or coverage
  • Add or remove supported AI platforms

We will provide reasonable notice of material changes that negatively affect your use of the Service.

14. Disclaimers and Limitations

‍

14.1 AI Platform Limitations

The Service monitors AI platforms that we do not control. We cannot guarantee:

  • That AI platforms will mention or recommend your brand
  • The accuracy of AI-generated content about your brand
  • That our recommendations will improve your AI visibility
  • That AI platforms won't change their algorithms or behaviour

14.2 Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED

14.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURASCOPE SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
  • ANY DAMAGE RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED NZD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless AuraScope, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Customer Data

16. Termination

‍

16.1 By You

You may close your Account at any time by contacting us or through your Account settings.

16.2 By Us

We may suspend or terminate your access to the Service immediately if:

  • You breach these Terms
  • You breach these Terms
  • Your use poses a security risk or violates laws
  • We discontinue the Service (with reasonable notice)

16.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • We will delete your Customer Data per our data retention policy
  • Provisions that should survive termination (e.g., indemnification, limitations of liability) will remain in effect

17. Confidentiality

‍

17.1 Confidential Information

Each party may have access to confidential information of the other party. Confidential information includes:

  • For AuraScope: Technical details about the Service, algorithms and methodologies
  • For you: Your Customer Data and business information

‍

17.2 Obligations

Each party agrees to:

  • Keep confidential information confidential
  • Use it only for purposes of these Terms
  • Protect it with reasonable security measures

Confidential information does not include information that is publicly available, already known, or independently developed.

18. Privacy

Your use of the Service is subject to our Privacy Policy, available at www.aurascope.co/privacy-policy. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

19. Governing Law and Disputes

‍

19.1 Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.

19.2 Disputes

If a dispute arises, we encourage you to first contact us at hello@harnex.ai to seek an informal resolution.

‍

19.3 Arbitration

If we cannot resolve a dispute informally, any dispute shall be resolved through binding arbitration in Auckland, New Zealand, under the Arbitration Act 1996 (NZ).

19.4 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action.

19.5 Jurisdiction

For disputes not subject to arbitration, the courts of Auckland, New Zealand shall have exclusive jurisdiction.

20. General Provisions

‍

20.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and AuraScope regarding the Service.

20.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be notified by email or through the Service. Your continued use after changes constitutes acceptance.

20.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

‍

20.4 Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue in effect.

20.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor.

‍

20.6 Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labour disputes, or government actions.

20.7 Survival

Provisions that by their nature should survive termination (including ownership, disclaimers, indemnification, limitations of liability, and prohibited exploitation) will survive.

22. Beta and Early-Access Terms

During the beta and early-access period, additional terms apply:

  • Access is granted at our sole discretion via an approved access list
  • We may revoke access at any time
  • Beta features may not be included in the general release
  • Pricing commitments made to beta participants will be honoured upon general availability
  • We may collect additional feedback and usage data
  • Beta users may be featured in case studies (with consent)

23. Agency and Enterprise Terms

For Agency and Enterprise customers, additional terms may apply:

  • Custom service level agreements (SLAs)
  • Data processing agreements (DPAs)
  • White-label arrangements
  • Multi-client workspace provisions
  • Custom reporting requirements

These are specified in separate agreements executed between the parties.

By using AuraScope, you acknowledge that you have read, understood and agree to be bound by these Terms of Service.
